A RESOLUTION supporting King County's approval and execution of an agreement with the Washington State Department of Transportation to waive indirect costs for the design and construction of the Seattle Multimodal Terminal, including the new Passenger-Only Ferry Terminal .
Body
WHEREAS, the King County Ferry District ("District") operates a passenger-only ferry terminal ("POF Terminal") at Pier 50 in Seattle, Washington, pursuant to the Terminal License Agreement No. GCA 6750, dated August 18, 2011, between the District and the Washington State Department of Transportation Ferries Division ("WSF"); and
WHEREAS, WSF plans to replace the Seattle Ferry Terminal at Piers 50 and 52 (Colman Dock) with a Seattle Multimodal Terminal, which will require removal of the current POF Terminal; and
WHEREAS, at the District's request, WSF has agreed to include the new POF Terminal in the design of the Seattle Multimodal Terminal; and
WHEREAS, WSF policies provide for WSF to charge the District for its indirect costs relating to the design of the new POF Terminal at the Seattle Multimodal Terminal; and
WHEREAS, RCW 47.28.260 authorizes public agencies and municipal corporations to waive indirect costs related to a project or work that will be performed by one party for the other party's benefit; and
WHEREAS, the Washington State Department of Transportation ("WSDOT") and King County have negotiated an agreement to waive indirect costs relating to the Seattle Multimodal Terminal, including the new POF Terminal, titled "Reciprocal Agreement between Washington State Department of Transportation and King County, Department of Transportation for Mutual Waiver of Indirect Costs (Agreement GCB 1926)" ("Mutual Waiver Agreement"); and
WHEREAS, although the District is not a party to the Mutual Waiver Agreement, the District is a beneficiary of the Mutual Waiver Agreement, which would waive indirect costs relating to the design and construct...
